1. Introduction

Welcome to Node Dawn Group Ltd (“Node Dawn”, “we”, “our”, or “us”).
By using our website, purchasing hosting, or engaging us for design or development work, you agree to comply with these Terms & Conditions.
If you do not agree, please do not use our services.

3. Description of Services

Node Dawn provides digital services including but not limited to:

  • Website design and development
  • Managed WordPress hosting and domain registration
  • Mobile app development (Flutter-based)
  • Branding, consultancy, and digital marketing services

Each service may include a separate proposal or service agreement, which forms part of these Terms.


4. Payments & Invoicing

  • A 50% deposit is required to begin any design or development project, unless otherwise agreed in writing.
  • Remaining balances are due on completion, prior to go-live or handover.
  • All invoices must be paid within 14 days of issue.
  • Late payments may incur interest at 4% above the Bank of England base rate.
  • Project deliverables remain the property of Node Dawn until full payment is received.

5. WordPress Hosting Terms

  • Hosting payments must be made on time as per your selected billing cycle (monthly or annually).
  • If a payment fails or remains unpaid 7 days after the due date, your hosting account may be temporarily suspended until payment is received.
  • Repeated non-payment or failure to renew may result in account termination and permanent removal of files after 30 days of non-payment.
  • Node Dawn is not responsible for data loss caused by non-payment, client error, or external factors beyond our control.
  • All hosting plans include standard SSL certificates, automated backups, and server maintenance.

6. Web Design & Development

  • Websites are built according to the project scope agreed before development begins.
  • Any additional requests or changes outside the original scope may be quoted as extra work.
  • Node Dawn provides full transfer of the finished website upon final payment.
  • Clients are responsible for maintaining valid domain names, hosting, and plugin updates (unless part of a managed plan).
  • Node Dawn may include a small, discreet credit link in the site footer (“Website by Node Dawn”) unless otherwise agreed.

7. Mobile App Development

  • Apps are built using Flutter and connected to your WordPress or custom backend (as agreed).
  • After launch, the app is self-serviceable — you can update menus, prices, and content through your website dashboard.
  • Node Dawn may charge a £100 update fee every 6 months (or as needed) if the app’s source code must be rebuilt due to Apple or Google changes.
  • Clients will be notified in advance when an update is required.
  • If an app needs to be rebuilt or republished due to feature upgrades or rebranding, a custom quote will be provided.

8. Ownership & Intellectual Property

  • Upon full payment, clients receive ownership rights to their final deliverables (e.g. website files, app source code, branding materials).
  • Node Dawn retains intellectual property rights over internal tools, code frameworks, or components used in development.
  • Node Dawn reserves the right to showcase completed work in our portfolio unless confidentiality has been specifically requested.

9. Client Responsibilities

Clients agree to:

  • Provide all necessary materials, text, and images promptly
  • Maintain accurate and secure login credentials for accounts and hosting
  • Ensure all submitted content complies with copyright and GDPR regulations
  • Keep payment methods up to date for recurring hosting or app updates

10. Data Protection & Privacy

Node Dawn complies with the UK GDPR and Data Protection Act 2018.
Any personal data shared with us will be handled securely and used solely for the delivery of contracted services.

11. Limitation of Liability

Node Dawn shall not be liable for:

  • Any indirect, consequential, or incidental damages
  • Downtime or data loss caused by third-party software, hosting providers, or client misuse
  • Financial loss or interruption of business caused by failure to maintain payments or credentials

Our total liability shall not exceed the total amount paid by the client for the specific service in question.


12. Termination

Either party may terminate an ongoing service with 14 days’ written notice.
Upon termination:

  • All outstanding fees must be settled
  • Node Dawn will release files or credentials related to paid work only
  • Hosting services will be cancelled, and data removed after 30 days

13. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.
Any disputes will be handled in the courts of England and Wales.


14. Updates to These Terms

We may update these Terms from time to time.
The latest version will always be available on our website, and continued use of our services signifies acceptance of any updates.
