Terms and Conditions of Service

These Terms and Conditions ("Terms") govern the provision of services by Cosmos Platform ("Cosmos", "we", "us", or "our") to you ("Customer", "you", "your").

By subscribing to or using Cosmos services, you agree to these Terms.


1. About Us

Cosmos is an all-in-one business platform providing website hosting, business management tools, booking systems, payments integrations, e-commerce functionality, email marketing tools, and related services.

These Terms apply to:

  1. All Cosmos SaaS customers
  2. Any legacy WordPress clients previously onboarded under separate arrangements
  3. Any customer billed monthly for services provided by Cosmos


2. Services Provided

Cosmos provides access to a hosted software platform on a subscription basis.

Services may include (depending on your package):

  1. Website hosting
  2. Website builder access
  3. E-commerce functionality
  4. Booking systems
  5. Customer management tools
  6. Payment integrations
  7. Email marketing tools
  8. Maintenance and support
  9. Legacy WordPress website hosting and maintenance (where applicable)

We reserve the right to improve, modify, or discontinue features at our discretion.


3. Monthly Billing & Payments

3.1 Subscription Billing

All customers are billed monthly unless otherwise agreed in writing.

By subscribing, you authorise Cosmos to collect recurring monthly payments using your chosen payment method.

3.2 Payment Due Date

Payment is due on the same calendar day each month as your original subscription start date.

3.3 Failed Payments

If payment fails:

  1. We will attempt to re-collect payment.
  2. Access to services may be suspended after 7 days of non-payment.
  3. Accounts may be terminated after 14 days of non-payment.

Cosmos reserves the right to charge reasonable recovery costs where applicable.


4. Legacy WordPress Clients

These Terms apply to all legacy WordPress customers who:

  1. Are hosted on infrastructure managed by Cosmos
  2. Receive maintenance or support services from Cosmos
  3. Are billed monthly by Cosmos

Unless otherwise agreed in writing:

  1. Services are provided on a rolling monthly basis.
  2. WordPress updates, plugin updates, and server maintenance are provided at our discretion.
  3. Cosmos is not responsible for third-party plugin conflicts or vulnerabilities outside our control.

If a legacy WordPress client chooses to leave:

  1. A full backup may be provided upon request.
  2. Migration support may be chargeable.


5. Cancellations

You may cancel your subscription at any time.

Cancellation:

  1. Must be submitted in writing (email is acceptable).
  2. Requires at least 7 days' notice before your next billing date.

No partial refunds are provided for unused time within a billing period.

Upon cancellation:

  1. Platform access will terminate at the end of your paid period.
  2. Your data may be permanently deleted 30 days after termination.


6. Acceptable Use

You agree not to use Cosmos for:

  1. Illegal activities
  2. Fraudulent transactions
  3. Hosting malicious code or malware
  4. Sending spam or unsolicited marketing
  5. Storing unlawful or infringing content

We reserve the right to suspend accounts immediately where misuse is suspected.


7. Customer Responsibilities

You are responsible for:

  1. Maintaining secure login credentials
  2. Ensuring your content complies with UK law
  3. Managing your own customer communications
  4. Keeping your payment details up to date


8. Data & GDPR

We process data in accordance with our Privacy Policy.

Customers using Cosmos to collect personal data are considered Data Controllers. Cosmos acts as a Data Processor where applicable.

You are responsible for ensuring your own compliance with GDPR and other applicable regulations.


9. Intellectual Property

Cosmos retains all intellectual property rights in:

  1. The Cosmos software
  2. Platform architecture
  3. Branding
  4. System design

Customers retain ownership of their own:

  1. Content
  2. Branding
  3. Uploaded materials

You may not copy, resell, reverse engineer, or redistribute Cosmos software without written permission.


10. Availability

We aim to provide high service availability but do not guarantee uninterrupted access.

We are not liable for:

  1. Third-party outages
  2. Payment processor failures
  3. Hosting provider disruptions
  4. Force majeure events

Maintenance may occasionally require downtime.


11. Limitation of Liability

To the fullest extent permitted by UK law:

  1. Cosmos shall not be liable for indirect or consequential losses.
  2. Total liability shall not exceed the amount paid by the customer in the preceding 3 months.

Nothing in these Terms limits liability for:

  1. Fraud
  2. Death or personal injury caused by negligence
  3. Any liability that cannot legally be excluded


12. Changes to Terms

We may update these Terms from time to time.

Customers will be notified of material changes. Continued use of the service constitutes acceptance of updated Terms.


13. Termination by Cosmos

We may suspend or terminate accounts if:

  1. Payments remain unpaid
  2. Terms are breached
  3. Illegal activity is suspected
  4. Abuse of staff occurs


14. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
